DRAFT — NOT APPROVED FOR PUBLICATION

Advisory and Global Deal Intelligence Disclosures

DRAFT FOR LEGAL AND COMPLIANCE APPROVAL | Proposed effective date: [EFFECTIVE DATE]

1. Nature of TerraArc

TerraArc is an acquisition intelligence and advisory brand supported by proprietary research and workflow technology referred to as TerraArc Global Deal Intelligence™. Its public content is intended for business and professional audiences interested in domestic or cross-border acquisitions. The actual services, responsible legal entity and contractual duties for a particular mandate will be set out in the applicable engagement agreement.

2. Advisory Entity and Regulated Services

TerraNova Capital Partners is separately described in TerraNova's public materials as providing M&A advisory and merchant-banking services. TerraNova Capital Equities, Inc. is separately described as providing investment-banking services and as a FINRA/SIPC member. These entities are distinct. TerraArc itself is not represented as a registered broker-dealer, investment adviser or FINRA/SIPC member.

Where a proposed activity involves securities, a transaction-based fee, regulated solicitation or another regulated financial service, the proper entity, personnel, licenses, supervision and disclosures must be established before activities occur. Website content alone does not establish which entity will provide any prospective service.

3. No Offer or Recommendation

Website materials do not constitute an offer to sell or solicitation of an offer to buy securities, a recommendation to pursue a specific investment, financing advice or an invitation to enter into a regulated transaction. No assurance is given that an identified company is available for sale or that a transaction can be originated, negotiated or completed.

4. Nature and Limits of Acquisition Intelligence

Global Deal Intelligence™ is designed to assist research, prioritization, analysis, relationship-pathway evaluation and preparation of advisory assessments. It may rely on public sources, commercially available information, authorized submissions and AI-supported interpretation. Coverage varies by company, jurisdiction, accessible sources and research date. It does not guarantee comprehensive market coverage or independently verify every third-party statement.

Analyses may distinguish source-supported facts, estimates, interpretations, advisor judgment and unknowns. Scoring or priority classifications are tools for organizing professional judgment; they are not forecasts, objective valuations or probabilities of closing a transaction.

5. Opportunity Signals

Changes in ownership, management, corporate strategy, financing, restructuring, business expansion or other public developments may be flagged for research. Such a signal is not confirmation that a company is seeking a sale or would entertain an approach. A lack of signals is not evidence that a company is unavailable or that no relevant developments exist.

6. Cross-Border Feasibility

Preliminary feasibility assessments may discuss foreign-investment screening, competition review, employment, tax, structure, sector regulation and integration. These are research and decision-support observations, not a legal opinion, clearance, tax advice or confirmation that a transaction is permissible. Appropriate local legal, tax, regulatory and other specialists should be engaged for transaction-specific determinations.

7. Global Network and Introductions

References to Global Alliance Partners (GAP) reflect an international network of independent financial-services firms. Membership or geographic specialization does not mean an individual firm has a direct relationship with a target company or is willing or authorized to act on a mandate. Relationship pathways may be direct, indirect, potential or merely relevant by market expertise; unverified pathways should not be treated as confirmed access. Introductions, information sharing and local advisory services require appropriate consent and separate arrangements.

8. Information Sharing and Confidentiality

Public inquiries do not create an NDA or confidential engagement. Prospective clients should avoid sending trade secrets, undisclosed transaction plans, nonpublic financial statements, personal identity documents or other highly sensitive materials through the public contact form. Where a confidential exchange is appropriate, it should occur only after the parties establish suitable terms and an approved transmission channel. Internal-only relationship notes and unapproved research are not intended for external disclosure.

9. Financial Information and Valuations

Financial figures from public or third-party materials may be unaudited, dated, incomplete or estimated. Indicative company size, acquisition capacity, valuations or deal economics are not independent appraisals or guarantees. Clients should obtain appropriate financial, accounting and due diligence advice before making decisions.

10. Results and Illustrations

Illustrative reports, diagrams and examples are for explanation and may use fictional or hypothetical data. They should not be interpreted as realized client engagements or successful transactions unless separately substantiated. Neither prior experience nor any illustrative methodology guarantees future results.

11. Conflicts and Compensation

Specific engagement terms, fees, potential referral arrangements, participating entities and material conflicts will be addressed where applicable in engagement documents and required disclosures. TerraArc's Website should not be read as committing any GAP member or TerraNova entity to a particular compensation or transaction structure.

12. Third-Party Materials and Trademarks

References to independent firms, geographic networks, databases and other businesses are descriptive and do not necessarily imply endorsement, exclusivity or a contractual relationship. Third-party information and intellectual property remain subject to the relevant owner's rights.

13. Contact
